1. Acceptance of Terms
By accessing our websites or using our SaaS applications (HRMS, Payroll, CRM, and related modules) and integrated hardware solutions, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or organisation, you represent that you have the authority to bind that entity to these terms.
2. Scope of Service
Semmon Engineers provides cloud-based business management software and integrated hardware solutions.
SaaS Subscription: Access to software is provided on a subscription basis (Monthly or Annual). Uptime commitments and support response times, where applicable, are defined in a separate Service Level Agreement (SLA) signed with the client.
Hardware: Semmon Engineers designs, supplies, and supports both proprietary hardware devices and third-party integrated devices as part of our service packages.
3. Payment and Billing
Subscriptions: Fees are payable in advance. Access may be suspended if payment is not received within 7 days of the due date.
Taxes: All prices are subject to GST as applicable under Indian tax laws.
Refund Policy: All payments for setup fees, subscription periods, and hardware are non-refundable. Exceptions may be made only where explicitly stated in a signed Service Level Agreement (SLA).
4. Data Ownership and Usage
Client Data: You retain full ownership of all data you upload or generate within the platform, including employee records, payroll data, and inventory information.
License to Process: You grant Semmon Engineers a non-exclusive, limited license to host and process your data solely for the purpose of delivering the contracted services.
Backups: While Semmon Engineers performs regular system-wide backups, clients are strongly encouraged to periodically export critical reports (Payroll, Attendance, Inventory) for their own records.
Privacy: For details on how personal data is collected, stored, and processed, please refer to our Privacy Policy at www.semmon.com/privacy-policy, in accordance with India's Digital Personal Data Protection Act, 2023.

6. Intellectual Property
All software, interfaces, algorithms, workflows, documentation, hardware designs, firmware, and embedded software developed by Semmon Engineers remain the exclusive intellectual property of Semmon Engineers. No rights are transferred to the client except the limited, non-exclusive right to use the software and hardware during the active subscription or warranty period. This right is non-transferable and terminates upon cancellation or expiry of the subscription.
7. Limitation of Liability
Semmon Engineers shall not be liable for:
Semmon Engineers' liability for defects in Semmon-branded hardware is limited to repair or replacement during the applicable warranty period, at Semmon's sole discretion.
In no event shall Semmon Engineers' total liability to you exceed the amount paid by you for the service in the three months immediately preceding the claim.
8. Force Majeure
Semmon Engineers shall not be held liable for any delay or failure in service caused by circumstances beyond our reasonable control, including but not limited to natural disasters, floods, fire, government orders, regulatory actions, internet infrastructure failures, or power outages. We will make reasonable efforts to restore services as quickly as possible in such events.
9. Termination
By You: You may cancel your subscription at any time through your admin dashboard or by providing 30 days' written notice to kiran@semmon.com.
By Us: Semmon Engineers reserves the right to suspend or terminate accounts for non-payment, breach of these terms, or illegal activities, with or without prior notice depending on the severity of the breach.
Data on Termination: Upon termination, your data will be available for export for a period of 15 days. After this period, data may be permanently deleted from our systems. Semmon Engineers shall not be liable for any data loss after this window.
10. Governing Law and Dispute Resolution
These Terms of Service are governed by the laws of India. Any disputes arising from these terms or the use of Semmon services shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
11. Amendments
Semmon Engineers reserves the right to update these Terms of Service at any time. Clients will be notified of material changes via email or in-app notification. Continued use of the service after such notification constitutes acceptance of the revised terms.
